Terms of Service, version 1.0, effective September 29, 2026
These Terms of Service ("Terms") are an agreement between you and ZaZang LLC ("ZaZang", "we", "us" or "our"), the operator of the ZaZang website and applications (the "Platform"). They apply to every client, talent and visitor. By creating an account or using the Platform you agree to these Terms. If you do not agree, do not use the Platform.
ZaZang is not a booking agent. ZaZang is 100% technology: ZaZang gives independent performers the tools to manage bookings, availability, communication and payments in one place.
1. About ZaZang and these Terms
The Platform is operated by ZaZang LLC, Placeholder: [Business address]. In these Terms, a "Client" is a user who requests or books services, and "Talent" (also "performer" or "provider") is a user who offers entertainment, creative or event services through the Platform.
These Terms should be read together with the following documents, which form part of your agreement with ZaZang where they apply to you:

2. Core ZaZang Platform Disclaimer
ZaZang operates a technology marketplace that enables Clients to discover, communicate with and book independent entertainment, creative and event-service providers. Unless expressly identified otherwise, ZaZang does not itself provide the entertainment or event services listed by providers on the Platform. The provider identified in a booking is responsible for performing the services accepted through that booking.
Provider profiles, capabilities, equipment, experience, media, availability and other listing information are supplied by the provider unless expressly identified as verified by ZaZang. ZaZang does not guarantee that a booking request will be accepted, that a provider will remain available, that equipment or services outside the confirmed booking will be supplied, or that a particular event or project will achieve a particular result.
ZaZang provides marketplace technology, payment functionality and platform support as described in its Terms and applicable booking records. Nothing in these disclosures limits rights or remedies that cannot legally be limited.
ZaZang provides the technology marketplace and booking infrastructure that connects clients with independent entertainment professionals. ZaZang generally is not the performer, employer, agent, venue, event producer, or direct provider of the entertainment services booked through the platform.
3. ZaZang is not a booking agent
ZaZang IS NOT a booking agent, and ZaZang is not your booking agent. ZaZang is 100% technology. ZaZang gives independent performers the tools to manage bookings, availability, communication and payments in one place.
ZaZang does not represent, manage or negotiate for any Client or Talent. Quotes, counter-offers, acceptances and declines are made by the users themselves through the Platform, and the resulting booking is between the Client and the Talent.
4. Marketplace and intermediary status
ZaZang facilitates discovery, communication, booking and payment. The actual entertainment service is provided by the performer to the client.
5. Independent performer status
Unless expressly stated otherwise, performers listed on ZaZang are independent service providers and are not employees of ZaZang. Talent controls how they perform their services and remains responsible for taxes, licenses, permits, insurance, equipment, assistants and legal compliance. ZaZang is not their employer.
6. Eligibility and minimum age
You must be at least 18 years old to create an account, whether as a Client or as Talent, and to request, accept or pay for bookings or receive payouts. By creating an account you confirm that you are 18 or older. Talent may perform at events attended by people of any age, but every account holder must be 18 or older.
You may not use the Platform if ZaZang has previously suspended or removed your account, or if doing so would violate applicable law. Placeholder: [Geographic service area — to be set by ZaZang LLC]
7. Accounts and account security
You are responsible for the accuracy of the information on your account and for keeping your sign-in credentials secure. Tell ZaZang support promptly if you believe your account has been used without your permission. You are responsible for activity on your account.
8. Talent listings and what "approved to list" means
Before a Talent profile appears in search or can receive booking requests, ZaZang staff review the profile for completeness and for compliance with ZaZang policies. A profile that passes this review is "approved to list". Approval to list means only that the profile passed this review. It is not a verification of identity, skills, licensing, insurance, background, equipment or quality, and it is not an endorsement or a guarantee by ZaZang.
9. No guarantee of performance
ZaZang cannot guarantee that a performer will arrive, perform satisfactorily, meet subjective expectations, have particular equipment, attract a crowd, generate revenue, or produce a particular event outcome.
10. User-provided information, capabilities and equipment
Performers are responsible for the accuracy of their bios, photos, videos, pricing, availability, capabilities, credentials, equipment, insurance information and other profile information.
When Talent selects capabilities, equipment or services on their profile (for example, a DJ selecting wireless microphone, dance floor lighting or ceremony audio), that selection is a representation by that Talent, not a representation by ZaZang.
Capabilities and equipment shown on this profile are selected by the provider. Specific equipment, services and deliverables required for your event should be included in the final booking details.
Availability shown on ZaZang reflects information currently provided through the platform and does not constitute a confirmed booking.
11. Verification, badges and designations
ZaZang does not background check, certify, license, insure or vet Talent, and does not describe Talent as "background checked", "certified", "licensed", "insured", "vetted", "ZaZang approved" or "verified professional". If ZaZang displays an indicator, it identifies exactly what was checked. For example, an email-confirmed account means only that the account holder confirmed access to that email address, and payout setup is completed with our payment processor under its own identity requirements.
Any such indicator does not represent a guarantee of service quality, safety, licensing, insurance or future performance. Badges shown on profiles recognize activity on ZaZang, such as completed bookings and ratings, and carry the same limitation.
12. Licensing and insurance
Unless ZaZang specifically verifies something and identifies it as verified, clients should not interpret being listed on ZaZang as certification that the performer possesses every license, permit, insurance policy, background check or professional credential that might be required for a particular engagement.
13. How bookings work
A Client sends a quote request; Talent may send a quote or decline. Talent has 48 hours to answer a quote request before it expires. The Client may accept a quote, decline it or negotiate with a counter-offer. Once the rate is agreed, the Client confirms with a card on file (nothing is charged at that point) and the Talent gives final confirmation, which opens the 48-hour free cancellation window.
A booking is confirmed only after the Talent has accepted it and the Client has paid the 50% booking retainer. Until both have happened the booking is pending, and ZaZang does not describe it as confirmed or booked. Once a booking is confirmed, both the Client and the Talent receive a confirmation with its material terms.

14. Fees and payment processing
Every fee is itemized before you are asked to agree to a charge. The current fees are:
- Client booking fee: $29.99 for 1 to 3 performers booked for one event, $39.98 for 4 and $49.97 for 5 ($9.99 for each performer beyond 3). It is charged to the Client's card on file when the 48-hour cancellation window closes.
- Talent booking fee: $19.99 plus 3% processing, $20.59 in total, per booked performer. It is charged when the cancellation window closes to the Talent's card on file, or, if there is no usable card on file, deducted once from that booking's payout.
- Booking retainer: 50% of the Talent's agreed rate, invoiced to the Client after both parties sign the booking contract. The retainer compensates the performer for reserving the date and declining other work.
- Final balance: the remaining 50% of the agreed rate, due 48 hours before the event starts.

Payments are processed by ZaZang's third-party payment processor, Stripe. ZaZang is not a bank and does not hold funds in escrow. Retainer and final-balance payments are held by ZaZang's payment processor on the Platform's account until they are released under the Booking & Cancellation Policy, and are then transferred to the Talent's connected payout account. Payouts are released when the Client confirms completion, or 24 hours after the event ends, unless a problem report or a payment dispute places the funds on hold while ZaZang reviews it.
ZaZang does not guarantee payment to Talent or refunds to Clients. ZaZang may administer funds within its control according to its published policies, processor rules and applicable law, and cannot guarantee recovery of funds that are no longer within its control.
A Client's lawful rights with their card issuer are not eliminated by these Terms. If a chargeback occurs, ZaZang may temporarily restrict relevant account activity while the transaction is investigated and may provide the payment processor with relevant booking records, acceptance records, communications and transaction documentation.
15. Cancellations and refunds
Before the rate is confirmed, a Client may withdraw a request and Talent may decline one, free of charge. Either party may cancel free of charge during the 48-hour cancellation window that opens when the rates are confirmed; nothing is charged. After the window closes there is no self-serve cancellation: cancellations and refunds are requested through ZaZang support and reviewed by ZaZang staff case by case. The ZaZang booking fee and the processing portion of the Talent fee are not refunded except where ZaZang staff decide otherwise, for example when the performer caused the booking to fail. 16. Booking disputes and problem reports
Cancellations, no-shows, late arrivals, materially deficient performance, force majeure and disputed services are handled under the Booking & Cancellation Policy. A Client can use Report a problem on the booking instead of confirming completion; this pauses the automatic payout release while ZaZang reviews the report. ZaZang may request information from both parties when reviewing a booking issue.
17. Off-platform transactions and anti-circumvention
Booking opportunities introduced through ZaZang should be completed through the ZaZang platform in accordance with the Terms of Service.
Arrangements made outside the Platform are not covered by the Platform booking record, contract, payment functionality, problem reporting or support. If a Client and Talent who connected through ZaZang arrange or pay for services outside ZaZang, those protections are lost.

18. Event safety
Performers and clients remain responsible for safe working conditions, venue rules, electrical requirements, crowd conditions, weather, equipment placement and applicable laws.
Clients and providers are responsible for conditions and actions within their control. Clients should provide safe access, appropriate venue conditions and required permissions. Providers should operate equipment safely and follow applicable venue requirements. If an immediate threat to health or safety exists, contact local emergency services before contacting ZaZang support.

19. Alcohol and nightlife environments
ZaZang does not serve or control alcohol at events and is not responsible for alcohol service, intoxicated attendees, security, crowd management or venue operations. Those remain the responsibility of the Client, the venue and any other party that has undertaken them.
20. Injury, property damage and equipment

21. Prohibited conduct
Performers may enter private homes, hotel rooms, venues and other non-public environments, so both Clients and Talent must behave lawfully and respectfully. You may not use the Platform, or conduct yourself at a booked event, in a way that involves:
- weapons that are unlawful or that threaten or endanger anyone;
- illegal activity, fraud or deception;
- harassment, threats, abuse or inappropriate conduct toward anyone;
- using messaging for unlawful activity, harassment, fraud or abusive behavior;
- false identities, fake accounts or false booking requests;
- interfering with the Platform, its security or other users.

22. Nondiscrimination
Users may not discriminate against other users in marketplace participation or booking decisions on any basis prohibited by applicable law. Placeholder: [Full nondiscrimination provision, subject to applicable law — to be drafted by counsel]
23. Reviews and ratings
Reviews must reflect your genuine experience with the booking. Do not submit false, threatening, discriminatory, defamatory, private or unrelated content.
You are responsible for your reviews. Fake, retaliatory, defamatory or manipulated reviews are prohibited, including reviews offered or requested in exchange for payment or other benefits. Reviews can only be left by the participants of a booking after the event, and ZaZang moderates each review before it is published. A star rating is the average of published reviews.
24. Your content
By uploading content, you confirm that you own the content or have the rights and permissions necessary to display it through ZaZang. You keep your rights in your content.
You permit ZaZang to host, store, reproduce, display and distribute the content you upload, on the Platform and to promote your profile and the Platform. Placeholder: [Scope, duration and termination of this licence — to be set by counsel]
25. ZaZang intellectual property
ZaZang owns its software, branding, interface and proprietary platform materials; users retain appropriate rights to their own content while licensing necessary use to ZaZang. To report content you believe infringes your copyright, see the Copyright & DMCA Policy.
26. Third-party services
The Platform relies on third-party services, including:
- Stripe, for payment processing and Talent payouts;
- Resend, for email delivery;
- Twilio, for text message delivery;
- Google, for optional sign-in;
- Cloudflare, for file storage and network services;
- Railway, for hosting;
- Sentry, for error monitoring.
Your use of a third-party service may also be subject to that provider’s own terms. ZaZang is not responsible for third-party services, and ZaZang may change its providers.
27. Platform availability
ZaZang does not guarantee uninterrupted or error-free service, or the permanent storage of messages, profile information or other content. Keep your own copies of anything important to you. ZaZang may change, suspend or discontinue features of the Platform.
28. Force majeure
Weather, hurricanes, venue closures, government orders, transportation interruptions, emergencies, natural disasters and similar circumstances outside a party’s reasonable control may prevent a booking from going ahead. The parties should first attempt to reschedule when practical. How amounts paid for services that are not performed are treated is set out in the Booking & Cancellation Policy. 29. Taxes
Performers remain responsible for their own tax obligations except amounts ZaZang is legally required to collect, report or withhold.
30. Operator and technology providers
The Platform is operated by ZaZang LLC. ZaZang LLC is the party to these Terms and the author and approver of these Terms and of every other ZaZang legal document.
ZaZang uses technology and service providers, including its platform developer, Gaazzeebo, its payment processor and the other providers listed under Third-party services. These providers are not parties to these Terms or to any booking, are not the operator of the Platform, are not booking agents, and are not responsible for the services, bookings, payments, content or legal documents on the Platform. To the extent permitted by law, the disclaimers, limitations of liability and indemnities in these Terms also apply for the benefit of ZaZang’s technology and service providers, including its platform developer. 31. Limitation of liability

34. Suspension and termination
ZaZang may warn, restrict, suspend or remove an account for legitimate safety or policy concerns, for violations of these Terms or the policies they reference, or where required by law. You may stop using the Platform and ask ZaZang to close your account at any time. Bookings in progress, amounts owed and records ZaZang must keep are handled under these Terms and the Booking & Cancellation Policy.
35. Changes to these Terms
Every version of these Terms has a version number and an effective date, shown at the top of this page. ZaZang may update these Terms as the Platform develops. When a change is material, ZaZang will ask you to review and accept the new version before you continue using your account. Confirmed bookings generally remain associated with the policy version accepted when the booking was made, unless applicable law or an agreed modification requires otherwise.
